M&A Definitive Purchase Agreement has been signed

Ssangyong Motor Company and the Edison Motors Consortium signed the M&A contract on Jan. 10, 2022.

Edison Motors Consortium will invest 304,858,000,000 won in Ssangyong Motor to acquire shares in the latter.

The equity investment will be in the form of third-party allotment (paid-in capital increase) of inscribed common stock

and the date of remittance of the acquisition money will be decided in the rehabilitation plan of Ssangyong Motor.

After the acquisition money is received, a meeting of stakeholders and creditors will be held.

Apart from the acquisition money, Ssangyong Motor will receive a loan of 50 bn won from Edison Motors Consortium for the smooth function of Ssangyong Motor’s operations.

The Court has approved the contract on the day of signing, making it effective from that day on.
